Mr. Pearson represents clients in a wide variety of matters, including tax, corporate and business planning, mergers and acquisitions, and estate planning. He represents closely-held, private, and publicly-held companies, real estate investment groups that own hotels and restaurants, several substantial network marketing and direct marketing companies, and professional service entities, including dental practices, medical practices and CPA firms. Mr. Pearson consults clients regarding business organization, corporate governance, general corporate structuring, stock transfers, buy-sell agreements, licensing and various distribution agreements, e-commerce, the Internet, and all types of contracts necessary to a company’s business operations.
Mr. Pearson analyzes, structures and documents taxable and tax-free transactions, including stock and asset purchases, and all types of mergers and reorganizations.
Mr. Pearson, who is fluent in Spanish, represents companies in cross-border corporate transactions. He has assisted U.S. and foreign companies in their activities in the United States, Canada, several Latin American countries, Europe and South Africa.
Mr. Pearson is very involved in the hospitality industry, including the acquisition and sale of hotels and restaurants, and all aspects of licensure for this industry.
Mr. Pearson’s estate planning practice involves the drafting of wills, revocable trusts and all types of estate planning documents, including family limited liability companies, irrevocable life insurance trusts, succession planning and other income and estate tax-reduction mechanisms.
Mr. Pearson has been included on the list of The Best Lawyers in America in Mergers and Acquisitions Law. He maintains an AV Preeminent (5.0) rating with Martindale-Hubbell, which is the highest rating awarded to attorneys for professional competence and ethics, and has also been voted by his peers throughout the state as one of Utah’s “Legal Elite,” as published in Utah Business Magazine (2004-06, 2010-12, 2014).
Mr. Pearson loves sports, running in the early morning, and competing in an occasional 10k race.
