Mr. Tholen is a member of the firm’s Tax, Trusts and Estate Planning Section. Mr. Tholen focuses his practice in the areas of estate planning, estate and trust administration, estate and trust litigation, business formation and planning, and taxation.
Estate and Trust Planning and Administration
Mr. Tholen’s estate planning practice includes advising clients on legal and tax issues associated with estate and wealth transfer strategies. He frequently prepares wills, trusts, powers of attorney, health care directives, and other general estate planning documents. Mr. Tholen also has significant experience in more sophisticated estate planning techniques, which often includes the use of spousal lifetime access trusts (SLAT), dynasty or legacy trusts, irrevocable life insurance trusts (ILIT), asset protection trusts, grantor retained annuity trusts (GRAT), limited liability companies and partnerships. Mr. Tholen’s practice also includes probate and trust administration services, the reformation or modification of irrevocable trusts, and the preparation of estate and gift tax returns.
Mr. Tholen is experienced with drafting and negotiating prenuptial and postnuptial agreements. Mr. Tholen also has experience helping clients navigate and calculate the spousal elective share. Mr. Tholen handles trust and estate litigation and prepares settlement agreements as an alternative to litigation.
Business Formation, Planning and Transactions
Mr. Tholen has experience assisting clients with a variety of business transactions involving limited liability companies, S corporations, C corporations, and partnerships. This includes being involved with entity formation, preparation of organizational and other corporate documents (such as operating agreements, bylaws, and buy-sell agreements), and advising on the legal and tax aspects of these types of business transactions. Mr. Tholen has experience advising clients in the pre-formation analysis, establishment, and ongoing administration and qualification of Qualified Opportunity Funds.
