Gavin M. Reese

Mr. Reese is a Shareholder, a member of the Firm’s Executive Committee, and the former Chair of the Corporate and Securities Section. Mr. Reese is an experienced corporate lawyer with a practice focused on mergers and acquisitions.  His practice includes mergers and acquisitions, corporate counseling, general corporate law, business entity selection and formation, and securities matters. He represents numerous companies in connection with their day-to-day legal operations throughout their entire life cycle and has experience in all aspects of drafting stock purchase agreements, asset purchase agreements, merger agreements, operating agreements, private placement memorandums, subscription agreements, shareholder agreements, and the various ancillary agreements that accompany a merger or acquisition, including complex disclosure schedules. 

Mr. Reese has been representing large direct selling companies for over ten years and is familiar with the unique structural and cultural issues involved with many direct sales companies. His work with direct selling companies involves acquisitions and divestiture of direct selling businesses and assets, supplier agreements, distribution agreements, executive bonus plans, employment issues, and counseling with the executive teams on high-level strategy and structure issues.
