Mr. Reese is a Shareholder and the Chair of the Firm’s Corporate and Securities Section. Mr. Reese assists clients with general corporate law, mergers and acquisitions, business entity selection and formation, and securities matters. He represents numerous companies in connection with their day-to-day legal operations, and has experience in drafting stock purchase agreements, asset purchase agreements, merger agreements, private placement memorandums, subscription agreements, shareholder agreements, and the various ancillary agreements that accompany a merger or acquisition, including complex disclosure schedules.
Mr. Reese has been representing large direct selling companies for over ten years and is familiar with the unique structural and cultural issues involved with many direct sales companies. His work with direct selling companies involves acquisitions and divestiture of direct selling businesses and assets, supplier agreements, distribution agreements, executive bonus plans, employment issues and counseling with the executive teams on high-level strategy and structure issues.
Additionally, Mr. Reese assists clients with various projects related to the radio broadcasting industry, such as negotiating the sale of FCC licenses. During his career, Mr. Reese has assisted in projects ranging from the sale and purchase of single radio stations to negotiating the sale and exchange of large groups of radio stations. Mr. Reese is also experienced in reviewing radio broadcast agreements and transmitter site leases.
Mr. Reese maintains an AV Preeminent (5.0) rating with Martindale-Hubbell, which is the highest rating awarded to attorneys for professional competence and ethics. He has also been selected for inclusion in Mountain States Super Lawyers as a “Rising Star” in the category of Mergers & Acquisitions, Business/Corporate, Real Estate (2008, 2010) and has also been voted by his peers throughout the state as one of Utah’s “Legal Elite,” as published in Utah Business Magazine (2015-2019).
